BY-LAWS OF

CROSS GATES LADIES TENNIS ASSOCIATION

 

ARTICLE 1
NAME

  1. The name shall be Cross Gates Ladies Tennis Association, mentioned hereafter as CGLTA.

ARTICLE II
OBJECT

A.          This Association has been formed to promote, protect and foster the welfare and interest of all ladies involved in the sport of tennis at Cross Gates Athletic Club.

ARTICLE III
MEMBERSHIP

A.      The membership of this Association shall be extended to any female adult who is a member of Cross Gates Athletic Club.  An adult is defined as any person who becomes 19 years on or before September 30.

B.       The Association’s fiscal year shall begin June 1 and end May 31.

C.       A member in good standing is one whose dues and tournament fees are paid up-to-date.

ARTICLE IV
DUES

A.      All renewing members must pay their dues no later than August 1st to be eligible to vote and to be on the challenge ladder.

B.       New Club members joining from December 1 though May 21 shall pay one-half of current dues for the remainder of the fiscal year.

C.       Annual dues shall be established by the outgoing members of the Board of Directors and the membership informed of their decision at the May election of new officers.

D.       All member dues-current and good standing are entitled to one vote.  Any member not dues-current shall be prohibited from voting in any election or participating in any function or meeting decided for members only.

ARTICLE V
MEETINGS

A.       General business meetings will be held quarterly with the time and day at the discretion of the President.  Special meetings may be called at the discretion of the President.

B.        A general membership meeting shall be held annually at the regularly scheduled meeting in May for the purpose of electing officers for the following year.  All members in good standing will be notified of this meeting.

C.        Any number of members present at any legally called meeting shall constitute a quorum and the affirmative vote of the majority of the members present shall be sufficient to decide any question.

ARTICLE VI
ELECTION OF OFFICERS

  1. There shall be a Board of Directors of four (4) members elected annually by the general membership: namely, President; Vice-President (President Elect); Secretary; and Treasurer.  Election shall be at the regular meeting in May. 
  2. Voting shall be by secret ballot unless only one (1) person is nominated for a position.  She can then be elected by acclamation.
  3. Vacancies in the Board shall be filled for the unexpired term by vote of the membership at the next regular meeting or at a special meeting of the membership.
  4. Failure to elect new officers annually shall not dissolve this Association nor impair its existence or management and the officers then in office shall remain in office until their successors are elected.
  5. The duties of the Board of Directors shall be to exercise the by-laws and management of the CGLTA.
  6. A majority of the membership may amend these Articles.

ARTICLE VII
DUTIES OF THE OFFICERS

A.    President:   This officer shall be the chief executive officer of the CGLTA.  She shall preside at all general meetings.  She shall have general and active management of the CGLTA and shall put into effect all validly passed resolutions of the general membership, all orders and regulations directed by the Board and other special committees and she shall have all other such powers as are generally accorded a President.  She shall be an ex-officio member of all committees.  After the volunteers have signed up for the committees they wish to work with, the President shall have the privilege of assigning one person to be Chairman of that committee.  As the outgoing President of the CGLTA, she shall remain an ex-officio officer to maintain the continuity of the by-law and shall be called Past President.

B.   1st Vice President:   In the absence of the President, the 1st Vice-President shall perform the President’s duties in a manner consistent with the by-laws of the CGLTA.  In the event the President should resign, the 1st Vice President will assume the duties of the President for the remainder of the fiscal year.  The Vice President will also act as Parliamentarian.

C.    Secretary:   Shall attend all regularly scheduled and specially convened meetings and keep an accurate record of all votes and the minutes of all proceedings.  She shall also attend to all correspondence and be liaison to the Club newsletter.

D.       Treasurer:  Shall collect all dues for membership and have physical charge of all funds of the CGLTA and its disbursements under the direction of the President.  She shall make a detailed report to the CGLTA membership at each regularly scheduled meeting indicating monies received and disbursed since the prior meeting and total funds on hand.  A complete and final report shall be prepared prior to the installation of new officers in June.  She shall be responsible for up-to-date information printed each year.  The office of Treasurer shall be a two (2) year term.

ARTICLE VIII
NOMINATIONS AND ELECTIONS

A.      There shall be a nominating committee composed of five (5) volunteers with the President acting as ex-officio officer.  They shall present a slate of at least one (1) person per elected office at the May meeting.

B.       Additional nominations for officer positions may be made from the floor by the general membership.  In the event that nominations are presented from the floor, the person nominated must be present or the member entering the nomination must present the Secretary with an acceptance of said nomination written by the nominee.

C.       The term of office shall be one fiscal year, June 1 through May 31.

ARTICLE IX
COMMITTEES

A.       Standing committees shall be created or dissolved by the elected officers as deemed necessary to carry on the work of the CGLTA.  The Chairman of each committee shall be approved by the President.

B.        Special committees shall be created by the President for specific purposes and dissolved after that purpose has been attained.

C.        The President shall be an ex-officio member of all committees.  The current (June 1984) standing committees are:

D.       Tournaments and Invitationals:  Responsible for organizing and coordinating all dates, court reservations, etc. for activities related to tournaments or Invitationals.  Responsible for seeding and posting times and dates of tournaments in Pro Shop.  Responsible for selection of players to play in Invitationals suitable to type of players of opposing team.

E.        Membership Committee:  Shall be chaired by the Treasurer and composed of as many persons as she deems necessary.  She is responsible for organizing publication of the membership directory, which is to be given to all members.

F.        Ladders – Single and Doubles:  Shall be responsible for changing the ladder.  Also for preparing written rules and regulations.  She shall have final approval in resolving all ladder disputes.

G.        Newsletter:  Shall be chaired by the Secretary.  Responsible for composing all information to be included in monthly Cross Gates Newsletter.

H.       Representatives – STA and Northlake:  Responsible for being the spokesman for their respective associations.  Each will relay information to the CGLTA.

I.          Telephone:  This committee is responsible for calling all members for specially called meetings or events.  Assist Tournament Chairman when needed.

J.         Rules and By-Laws:  Will keep all rules and any addendum to rules available to the general membership.  The Rules Committee will be comprised of the Rules Chairman and the league Captains.  These rules will govern the Club ladder.
